Terms of Service

1. DEFINITIONS
For purposes of these Terms, the following definitions apply:
- "Platform" means the NotaryLaunchpad software-as-a-service platform and all related services, tools, and features provided by Company
- "Notarial Act" means any official act a notary public of any jurisdiction is empowered to perform
- "Gross Revenue" means the total amount charged to and paid by your customers for all services, before any deductions
- "User Content" means any content, data, information, or materials uploaded, submitted, or transmitted by you through the Platform
- "Third-Party Services" means external services integrated with the Platform, including but not limited to Stripe, Authenticate.com, Twilio, and Microsoft Azure
- "Customer" means any end-user who purchases services from you through your use of the Platform
- "Account" means your user account and associated data on the Platform
2. ACCEPTANCE AND SCOPE
2.1 Agreement to Terms
By registering for, accessing, or using any services provided by ATX Courier Notary, LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), operating the "NotaryLaunchpad" service platform, you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms") and all incorporated policies. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2.2 Rejection of Terms
If you do not agree to these Terms in their entirety, you must immediately discontinue use of our services and may not create or maintain an account.
2.3 Electronic Agreement
These Terms constitute an electronic contract under applicable electronic signature laws. Your electronic acceptance has the same legal effect as a handwritten signature.
2.4 Consent to SMS and Automated Communications
By proceeding you authorize NotaryLaunchpad, its affiliates, and service providers to contact you by email, phone, and SMS/text message (which may be sent using automated technology) for operational notices including billing or subscription updates, compliance reminders, multi-factor authentication codes, system alerts, and occasional product or marketing announcements. Message frequency varies. Standard message and data rates charged by your carrier apply and are solely your responsibility. You may opt out of marketing texts at any time, but understand that essential security and account-management messages may remain required for continued use of the platform.
3. SERVICE DESCRIPTION AND ARCHITECTURE
3.1 Platform Overview
NotaryLaunchpad provides a comprehensive Software-as-a-Service (SaaS) e-commerce platform enabling licensed notary professionals to operate and manage their notarial business, including but not limited to:
- Remote Online Notarizations (RON)
- In-person notarizations
- Field inspection services
- Apostille and authentication services
- Courier and delivery services
- Customer management and payment processing
- Regulatory compliance tools and resources
3.2 Third-Party Service Integration
Our platform integrates with various third-party service providers including but not limited to:
- Payment Processing: Stripe, Inc. (handles all payment collection, processing, and distribution through separate user accounts established via our platform)
- Identity Verification: Authenticate.com and other verification services
- Video Conferencing: Twilio Inc. and related communication services
- Cloud Hosting: Microsoft Azure and associated infrastructure services
- Other Services: Additional providers as determined by Company from time to time
You acknowledge that these third-party services operate under their own terms of service and privacy policies, and we are not responsible for their performance, availability, or compliance with their stated terms. Your relationship with these third-party providers is separate and independent from your relationship with NotaryLaunchpad.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice. We may also impose limits on certain features or restrict access to parts of the service without notice or liability.
You acknowledge that specific Platform functionality depends on integrations with governmental agencies, courts, regulatory authorities, identity verification services, payment processors, telecommunications providers, cloud infrastructure vendors, and other Third-Party Services. Changes in the availability, pricing, technical capabilities, security posture, contractual terms, or legal status of those third parties, or in applicable laws or governmental approvals, may require us to add, modify, suspend, or permanently remove any feature, workflow, integration, or service level with little or no advance notice.
Factors that may necessitate such changes include, without limitation:
- Legislative, regulatory, judicial, or policy updates, or delays, denials, or revocations of governmental approvals or credentials
- Service interruptions, policy or pricing changes, technical updates, or contractual restrictions imposed by Third-Party Services or licensors
- Technical constraints, product roadmap decisions, performance or capacity limitations, or security, privacy, or compliance requirements
- Business continuity, disaster recovery, force majeure, or risk management considerations beyond our reasonable control
3.4 Platform Role and Limitations
You acknowledge and agree that:
- Company is not a notarial service provider and does not supervise or endorse the conduct of any individual notary
- The Platform serves solely as a marketplace and technology provider connecting notaries with customers
- Company does not participate in, oversee, or guarantee any notarial acts or related services
- All professional services are provided independently by you as a licensed notary public
- Company has no responsibility for the quality, legality, or compliance of any notarial services performed through the Platform
4. ELIGIBILITY AND ACCOUNT REQUIREMENTS
4.1 Professional Licensing Requirements
To access notarial services through our platform, you must:
- Hold a current, valid notary public commission in good standing
- Maintain all required professional bonds, insurance, and certifications
- Comply with all continuing education requirements in your jurisdiction
- Provide proof of licensing and credentials upon request
4.2 Business Registration
You must provide accurate business information including:
- Legal business name and structure
- Federal and state tax identification numbers
- Professional license numbers and expiration dates
- Current business address and contact information
- Banking information for payment processing
4.3 Account Security
You are solely responsible for:
- Maintaining the confidentiality of account credentials
- All activities occurring under your account
- Immediately notifying us of unauthorized access or security breaches
- Using strong passwords and enabling available security features
5. PRICING, BILLING, AND PAYMENT STRUCTURE
5.1 Subscription Pricing Model
Month 1: Free trial period with full platform access
Month 2: $245.00 monthly platform fee, no revenue sharing
Month 3: $245.00 monthly platform fee, no revenue sharing
Month 4 and Beyond: $9.95 monthly platform fee plus 20% revenue sharing on all transaction income
5.2 Prepaid Credits System
5.2.1 Credit Requirements
All integrated third-party services require prepaid credits purchased through our platform. You are responsible for maintaining sufficient credit balances to cover:
- Identity verification services
- Video conferencing usage
- Document storage and processing
- Payment processing fees
- Any other integrated service costs
5.2.2 Credit Management
- Credits are automatically deducted for each service usage
- You must maintain positive credit balances to access services
- Insufficient credits may result in service interruption
- Credit purchases are refundable minus payment processing fees charged by credit card processors (including Stripe's non-refundable payment processing fees)
- We reserve the right to set minimum credit balance requirements
5.2.3 Third-Party Fee Pass-Through
All third-party service fees are passed through to you at cost. We do not markup these fees but may add administrative charges for payment processing and account management.
5.3 Payment Processing and Revenue Sharing
5.3.1 Stripe Payment Processing
All payments are processed through Stripe, Inc. ("Stripe"). You acknowledge that:
- Stripe handles all customer payment collection and processing
- You must establish and maintain your own Stripe account
- Platform fees and revenue sharing are automatically deducted by Stripe
- You configure your own payout schedule directly with Stripe through our platform interface
- All payment processing is subject to Stripe's terms of service and policies
- Stripe Payment Processing Fees: Stripe automatically deducts its own payment processing fees from every transaction. These Stripe fees are never refundable under any circumstances, as per Stripe's policies. NotaryLaunchpad has no control over Stripe's fee structure, amounts, or refund policies.
5.3.2 Revenue Share Calculation
Beginning in Month 4, we collect 20% of your gross transaction revenue. Platform fees are automatically deducted by Stripe before funds are distributed to your account.
5.3.3 Payout Configuration
You are responsible for:
- Configuring your Stripe payout settings through our platform interface
- Maintaining accurate banking information with Stripe
- Understanding and complying with Stripe's payout schedules and policies
- Resolving any payout issues directly with Stripe when necessary
5.3.4 Payout Holds and Fraud Prevention
Company reserves the right to temporarily hold payouts from your Stripe account if:
- Your account is under review for suspected fraudulent activity
- Excessive chargebacks or payment disputes are detected
- We receive complaints regarding your services that require investigation
- There are concerns about compliance with applicable laws or regulations
- Stripe or other payment processors flag your account for review
During any hold period, you will be notified of the reason and expected duration. Held funds will be released upon satisfactory resolution of the underlying issue.
5.4 Refund Policy and Platform Fee Treatment
5.4.1 Customer Refund Responsibility
You are solely responsible for all refunds to your customers. We do not process refunds on your behalf. All refund decisions, processing, and customer communications are your responsibility.
5.4.2 Platform Fee Refund Policy
- Refunds within 30 days: If you refund a customer within 30 (thirty) days of the original transaction, our platform fee will also be refunded to you
- Refunds after 30 days: If you refund a customer more than 30 days after the original transaction, your customer receives a full refund of their payment, but our platform fee will be retained (not refunded to you)
5.4.3 Negative Balance Consequences and Collections
When you issue refunds after the 30-day period, this may result in a negative balance in your Stripe account since your customer must receive a full refund while our platform fee is retained. You acknowledge that:
- Negative balances are your responsibility to resolve immediately
- Copious notices regarding this policy are provided throughout our payment and order management system
- You have been clearly warned of this consequence through multiple platform notifications
- Future transactions may be used to offset negative balances
- You must monitor your account balance and refund policies accordingly
- Collections for Unrecovered Balances:
- Standard Timeline: If negative balances remain unresolved for more than 30 days, Company may suspend your account until the balance is resolved
- Immediate Suspension for Egregious Cases: Notwithstanding the 30-day period above, Company reserves the right to immediately suspend your account if, in our sole discretion, we determine that:
- The negative balance is egregious based on your historical usage patterns
- The refund activity appears fraudulent or abusive
- The negative balance poses an unreasonable financial risk to the Platform
- Your account shows patterns of systematic abuse of the refund policy
- Engage collection agencies or legal counsel to recover amounts owed
- Charge reasonable collection fees and attorney's fees for recovery efforts
- Report negative balances to credit agencies where permitted by law
5.4.4 Refund Processing
All refunds are processed entirely by Stripe and deducted from your Stripe account balance in accordance with Stripe's terms of service and refund policies. You acknowledge that:
- Refunds are automatically deducted from your Stripe balance when processed
- All refund processing, timing, and procedures are governed solely by Stripe's policies
- We have no control over Stripe's refund processing methods or timing
- Any disputes regarding refund processing must be resolved directly with Stripe
- Important: Stripe's payment processing fees are never refunded by Stripe and are deducted from the original transaction amount. NotaryLaunchpad has no control over Stripe's fee policies or refund procedures.
5.5 Fee Changes and Billing Disputes
We reserve the right to modify fees with 30 days' written notice. Billing disputes must be raised within 60 days of the disputed charge.
7. REGULATORY COMPLIANCE
7.1 Regulatory Compliance Obligation
You acknowledge and agree that you are solely responsible for:
- Compliance with all federal, state, and local laws governing notarial acts
- Understanding and following jurisdiction-specific requirements
- Maintaining current knowledge of legal changes affecting your practice
- Ensuring our platform meets your local regulatory requirements
- Obtaining any additional licenses or certifications required in your jurisdiction
- Determining all licensing, insurance, and regulatory requirements for each service you offer (including courier, field inspection, and other non-notarial services)
- Maintaining adequate insurance coverage for all services provided through the Platform
7.2 Platform Compliance Efforts
While we make commercially reasonable efforts to provide a platform that supports regulatory compliance, we make no warranties that our platform satisfies the requirements of any specific jurisdiction. You must independently verify compliance with your local laws.
7.3 Prohibited Activities
You may not use our platform to:
- Engage in unauthorized practice of law
- Provide legal advice or draft legal documents
- Notarize documents in which you have a financial interest
- Perform notarizations outside your authorized jurisdiction
- Violate any applicable laws, regulations, or professional standards
- Circumvent platform payment or security systems
- Misrepresent your credentials, qualifications, or services
7.4 Export Control and Sanctions Compliance
You agree not to use the Platform in violation of:
- U.S. export control laws and regulations
- Economic sanctions administered by the Office of Foreign Assets Control (OFAC)
- Any applicable international trade restrictions
- Anti-money laundering (AML) regulations
You represent that you are not located in, or a national of, any country subject to U.S. embargo or designated as a "terrorist supporting" country by the U.S. government.
7.5 Record Keeping Requirements
You must maintain complete and accurate records of all notarial acts in compliance with applicable laws, including:
- Digital and physical notarial journals
- Audio/video recordings where required
- Customer identification records
- Certificate of completion documentation
7.6 Additional Service-Specific Licensing and Insurance Requirements
IMPORTANT: You are solely responsible for determining and obtaining any additional licenses, permits, insurance, bonds, or regulatory approvals required for the services you offer through the Platform. This includes but is not limited to:
- Courier Services: Commercial driver's licenses, vehicle insurance, cargo insurance, business licenses, and any local delivery permits
- Field Inspection Services: Professional inspection licenses, errors and omissions insurance, contractor licenses, and industry-specific certifications
- Apostille Services: Additional authorization from your Secretary of State or other governing body
- Mobile Notary Services: Business licenses, commercial auto insurance, and local operating permits
- Any Other Services: All applicable professional licenses, insurance coverage, and regulatory compliance for any additional services you offer
WARNING: The Platform does not verify whether you hold the necessary licenses, insurance, or permits for non-notarial services. Failure to maintain proper licensing and insurance may result in personal liability, regulatory penalties, and immediate termination of your Platform access. You must research and comply with all requirements in every jurisdiction where you operate.
8. TAX RESPONSIBILITIES
8.1 Income Tax Obligations
IMPORTANT TAX NOTICE: You are solely responsible for all income tax obligations related to revenue earned through the Platform. This includes, but is not limited to:
- Federal Income Tax: All income earned through the Platform must be reported to the Internal Revenue Service (IRS) and appropriate federal income taxes must be paid
- State Income Tax: You must comply with income tax requirements in your state of residence and any states where you provide services
- Local Income Tax: Some municipalities impose local income taxes that you must pay
- Quarterly Estimated Taxes: As an independent business owner, you may be required to make quarterly estimated tax payments
- Self-Employment Tax: You are responsible for paying self-employment taxes on your net earnings
Company does not withhold any taxes from your earnings. You will receive the full amount of your earnings (minus platform fees and revenue sharing) and are responsible for setting aside appropriate amounts for tax payments.
8.2 Sales Tax and Other Transaction Taxes
SALES TAX RESPONSIBILITY: You are solely responsible for determining, collecting, reporting, and remitting all applicable sales taxes, use taxes, value-added taxes (VAT), goods and services taxes (GST), and any other transaction-based taxes related to your services. This includes:
- Sales Tax Registration: Registering for sales tax permits in all jurisdictions where you have nexus or are required to collect sales tax
- Tax Collection: Determining the correct tax rates and collecting applicable taxes from your customers
- Tax Remittance: Filing tax returns and remitting collected taxes to appropriate tax authorities on time
- Record Keeping: Maintaining accurate records of all taxable transactions for audit purposes
- Nexus Determination: Understanding and complying with economic nexus laws in states where you provide services
The Platform does not automatically calculate, collect, or remit sales taxes on your behalf. You must configure appropriate tax settings and ensure compliance with all applicable tax laws.
8.3 Tax Documentation and Reporting
You acknowledge and agree that:
- You will receive IRS Form 1099-K from our payment processor (Stripe) if you meet applicable reporting thresholds
- You must provide accurate tax identification information (SSN or EIN) to receive payments
- You are responsible for maintaining complete and accurate business records for tax purposes
- Company may be required to report your earnings to tax authorities as required by law
- You should consult with a qualified tax professional regarding your specific tax obligations
8.4 Indemnification for Tax Liabilities
You agree to indemnify, defend, and hold harmless Company from any claims, penalties, interest, or liabilities arising from your failure to comply with applicable tax laws, including but not limited to:
- Failure to pay income taxes on earnings from the Platform
- Failure to collect or remit applicable sales taxes
- Providing incorrect tax information to Company or payment processors
- Any audits, investigations, or enforcement actions by tax authorities related to your tax obligations
8.5 No Tax Advice
DISCLAIMER: Nothing in these Terms or on the Platform constitutes tax advice. Company does not provide tax, legal, or accounting advice. You should consult with qualified professionals regarding your specific tax obligations and compliance requirements. Tax laws vary significantly by jurisdiction and change frequently. It is your responsibility to stay informed about and comply with all applicable tax laws.
9. USER CONTENT AND ACCEPTABLE USE
9.1 User Content Standards
All User Content must:
- Comply with applicable laws and regulations
- Respect third-party intellectual property rights
- Meet professional standards appropriate for notarial services
- Comply with the terms of service of third-party platforms (Google, Facebook, etc.) if used for marketing
- Not contain false, misleading, or deceptive information
9.2 Prohibited Content and Activities
The Platform is strictly for business purposes related to your notarial and professional services. You are expressly prohibited from using the Platform, including but not limited to website customization features and blog functionality, to create, upload, publish, or distribute:
- Political Content: Any content promoting political candidates, parties, movements, or advocating for or against political positions
- Religious Content: Religious proselytizing, theological debates, or content promoting or disparaging any religion or belief system
- Hate Speech or Discrimination: Content that promotes hatred, discrimination, harassment, or violence against individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic
- Adult or Explicit Material: Pornographic, sexually explicit, or adult-oriented content of any kind
- Violence or Graphic Content: Content depicting or promoting violence, gore, or other disturbing imagery
- Illegal Activities: Content promoting, facilitating, or instructing on illegal activities
- Misinformation: False or misleading information that could cause harm to individuals or the public
- Spam or Deceptive Content: Mass solicitations, pyramid schemes, or deceptive business practices
- Personal Attacks: Content targeting individuals with harassment, defamation, or personal attacks
- Non-Business Content: Personal blogs, diaries, or content unrelated to your professional services
IMPORTANT: This Platform is not a general-purpose blogging or content platform. All content must be directly related to promoting and conducting your professional business services. We reserve the absolute right to moderate, remove, or restrict any content that violates these standards, and to suspend or terminate accounts for violations, without prior notice and at our sole discretion.
9.3 Content Moderation and Enforcement
Company maintains the right to:
- Monitor all content posted on the Platform
- Remove or disable access to any content that violates these Terms
- Suspend or terminate accounts that violate content policies
- Report illegal content to appropriate authorities
- Cooperate with law enforcement investigations
Content moderation decisions are final and made at Company's sole discretion. Repeated violations may result in permanent account termination without refund.
9.4 Content Compliance and Platform Protection
To protect the Platform from potential service disruptions:
- You must ensure all marketing content complies with advertising network policies
- Violation of third-party platform policies that results in platform-wide restrictions may result in immediate account termination
- You are responsible for any consequences arising from your content violations
9.5 Copyright Policy and DMCA Compliance
We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on our Platform infringes your copyright:
- Send a written notice to preflight@notarylaunchpad.com including:
- Identification of the copyrighted work
- Location of the allegedly infringing material
- Your contact information and electronic signature
- A statement of good faith belief that use is not authorized
- A statement that the information is accurate and you are authorized to act
We will respond to valid DMCA notices by removing or disabling access to allegedly infringing material and may terminate accounts of repeat infringers.
9.6 Service Suspension for Legal Risk
Company reserves the right to immediately suspend or terminate your account if your activities:
- Are likely to bring legal liability to the Platform
- Pose reputational harm to the Platform or its users
- Violate applicable laws or regulations
- Create security risks for other users
- Generate excessive customer complaints or legal threats
10. MARKETING AND ADVERTISING TOOLS
10.1 Available Marketing Tools
We may provide various marketing and advertising tools, including but not limited to:
- Search Engine Optimization (SEO) tools and features
- Website optimization capabilities
- Social media integration tools
- Analytics and reporting dashboards
- Content management systems
- Lead generation tools
10.2 Marketing Tool Disclaimers
You acknowledge and agree that:
- We make no warranties, representations, or guarantees regarding the effectiveness of any marketing tools
- Marketing results depend on numerous factors beyond our control, including market conditions, competition, content quality, and user implementation
- We do not guarantee increased traffic, leads, sales, or business growth from use of marketing tools
- You are solely responsible for the content, messaging, and implementation of all marketing efforts
- Any marketing success or failure is your responsibility
10.3 SEO and Website Performance
Regarding SEO and website performance tools:
- We make no guarantees about search engine rankings or visibility
- Search engine algorithms and requirements change frequently and are beyond our control
- Website performance depends on content quality, user experience, and external factors
- You are responsible for creating quality content and following search engine guidelines
10.4 Marketing Compliance
You are solely responsible for ensuring all marketing activities comply with:
- Federal Trade Commission (FTC) advertising guidelines
- State and local advertising regulations
- Professional ethics rules for notaries
- Truth-in-advertising requirements
- Privacy laws regarding marketing communications
11. INTELLECTUAL PROPERTY RIGHTS
11.1 Company Intellectual Property
We retain all rights, title, and interest in:
- Platform software and source code
- User interface designs and layouts
- Proprietary algorithms and processes
- Trademarks, service marks, and branding (including "NotaryLaunchpad")
- Documentation and training materials
- All improvements and derivative works
11.2 User Content and Data
You retain ownership of:
- Your business name, logo, and original content
- Customer data collected through your services
- Documents and records created in your notarial practice
11.3 License Grants
11.3.1 License to Company
You grant us a worldwide, non-exclusive, royalty-free license to:
- Display your business information on our platform
- Process your content to provide services
- Use aggregated, anonymized data for platform improvement
- Create backup copies for data protection
11.3.2 License to User
We grant you a limited, non-exclusive, non-transferable license to use our platform solely for authorized business purposes during your subscription term.
12. DATA SECURITY AND PRIVACY
12.1 Data Processing Roles
Under applicable data protection laws (GDPR, CCPA):
- Data Controller: You are the data controller for all customer personal information collected through your notarial services
- Data Processor: Company acts as a data processor, processing personal data solely on your instructions and in accordance with these Terms
- You must obtain all necessary consents and provide appropriate privacy notices to your customers
- You are responsible for ensuring your data processing activities comply with applicable privacy laws
12.2 Security Measures
We implement security controls at the infrastructure level, including:
- TLS 1.3 encryption for data transmission
- AES-256 encryption for data storage
- Multi-factor authentication options
- Our data centers maintain SOC 2 Type II compliance
- Infrastructure-level security audits and monitoring
- GDPR and CCPA compliance frameworks at the platform level
12.3 Data Processing and Storage
- Customer data is processed only as necessary to provide services
- Data is stored in secure, geographically distributed data centers
- Regular automated backups are maintained
- Data retention policies comply with legal requirements
12.4 User Data Responsibilities
You are responsible for:
- Implementing appropriate privacy policies
- Obtaining necessary customer consents
- Protecting customer personal information
- Complying with applicable privacy laws
- Promptly reporting any suspected data breaches
12.5 Data Breach Notification
We will notify you of any security incidents affecting your data within 72 hours of discovery, including available details about the scope and impact of the incident.
13. SERVICE LEVEL COMMITMENTS
13.1 Uptime Target and Remedies
We target 99.9% platform availability calculated monthly, excluding scheduled maintenance and circumstances beyond our reasonable control.
Remedy for Missed Uptime: If we fail to meet the 99.9% uptime target in any calendar month, your sole remedy shall be a pro-rated credit for the affected period, calculated as follows:
- Monthly platform fee x (downtime hours / total hours in month)
- Credit will be applied to your next month's platform fee
- Credits do not apply to revenue sharing portions of fees
- This remedy is your exclusive remedy for service availability issues
13.2 Maintenance and Updates
- Scheduled maintenance will be announced with reasonable advance notice
- Emergency maintenance may be performed without notice
- Platform updates and feature enhancements are deployed regularly
- Critical security updates may be applied immediately
13.3 Support Services
We provide customer support through designated channels during business hours. Support response times vary based on issue severity and subscription level.
14. LIMITATION OF LIABILITY AND DISCLAIMERS
14.1 Service Disclaimers
OUR PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE
- NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
- UNINTERRUPTED OR ERROR-FREE OPERATION
- COMPLIANCE WITH SPECIFIC REGULATORY REQUIREMENTS
- ACCURACY OR RELIABILITY OF THIRD-PARTY SERVICES
14.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE LESSER OF:
- THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

Jurisdictional Limitations: To the extent not prohibited by applicable law, the above limitations apply. In jurisdictions where limitations on consequential damages for consumer users are restricted, this limitation shall apply to the maximum extent permitted by law.
14.3 Excluded Damages
IN NO EVENT SHALL WE BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR BUSINESS INTERRUPTION
- COSTS OF SUBSTITUTE SERVICES
- DAMAGES ARISING FROM THIRD-PARTY SERVICES OR INTEGRATIONS
14.4 Third-Party Service Limitations
We are not responsible for the performance, availability, or functionality of integrated third-party services. Any issues with third-party services must be resolved directly with the respective providers.
15. INDEMNIFICATION
15.1 User Indemnification Obligations
You agree to defend, indemnify, and hold harmless Company, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising from or relating to:
- Your violation of these Terms or applicable laws
- Your notarial acts, services, or professional conduct
- Your breach of professional duties or standards
- Disputes with your customers or clients
- Your failure to maintain required licenses or insurance
- Your failure to obtain or maintain proper licensing, permits, or insurance for courier services, field inspections, or any other services offered
- Any claims arising from your lack of required professional qualifications or regulatory compliance
- Your failure to comply with tax obligations as described in Section 8 (Tax Responsibilities)
- Unauthorized use of our platform
- Your violation of third-party rights
15.2 Company Defense Rights
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
15.3 Notice Requirements
You must promptly notify us of any claims or potential claims that may trigger indemnification obligations.
16. TERMINATION AND SUSPENSION
16.1 Termination by User
You may terminate your account at any time by providing written notice. Termination does not relieve you of payment obligations for services already rendered.
16.2 Termination by Company
We may immediately terminate or suspend your account for:
- Material breach of these Terms
- Violation of applicable laws or regulations
- Fraudulent or deceptive conduct
- Failure to maintain required professional credentials
- Non-payment of fees or charges
- Misuse of our platform or services
16.3 Effect of Termination
16.3.1 Immediate Effects
Upon termination:
- Your access to the platform will cease immediately
- All outstanding fees become immediately due
- Your license to use our services terminates
- Certain provisions of these Terms survive termination
16.3.2 Data and Content
- You have 30 days to export your data before deletion
- We may retain certain data as required by law or legitimate business purposes
- Customer data will be handled according to our Privacy Policy
16.4 Survival
The following provisions survive termination: payment obligations, intellectual property rights, disclaimers, limitation of liability, indemnification (including all indemnification obligations), and dispute resolution.
17. DISPUTE RESOLUTION
17.1 Mandatory Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or our services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
17.2 Arbitration Procedures
- Arbitration shall be conducted by a single arbitrator
- The arbitration shall take place in Austin, Texas under Texas law
- The arbitrator's decision shall be final and binding
- Each party bears its own costs unless otherwise awarded
17.3 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS. ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS.
17.4 Equitable Relief
Notwithstanding the arbitration requirement, either party may seek emergency equitable relief in a court of competent jurisdiction to prevent irreparable harm.
18. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any court proceedings shall be conducted exclusively in the state and federal courts located in Austin, Texas.
19. GENERAL PROVISIONS
19.1 Entire Agreement
These Terms, together with our Privacy Policy and other incorporated policies, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
19.2 Amendment
We may modify these Terms at any time by posting the revised version on our platform. Material changes will not apply retroactively and will take effect 30 days after notification. Continued use after the effective date constitutes acceptance of the new terms. For material adverse changes, we will provide reasonable advance notice and may require affirmative acceptance.
19.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
19.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms at any time without notice.
19.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.
19.6 No Waiver
Our failure to enforce any provision does not constitute a waiver of our right to enforce such provision in the future.
